Trade licence renewal in Dubai

A renewal is rarely one transaction. It is four or five, and the one that holds everything up is usually the tenancy contract.

Trade licence renewal in Dubai requires a valid tenancy registration, settlement of any outstanding fees or fines, renewal of external approvals where the activity requires them, and payment of the renewal fee to the licensing authority. Mainland licences renew through the Department of Economy and Tourism, free zone licences through the relevant zone.

Late renewal carries penalties and, if it continues, restrictions on the licence and on connected immigration activity. The dependency that most often causes lateness is the tenancy contract, because it usually sits with a different person inside the company.

The renewal file and what it depends on

Dependencies are worked in this order. Starting at the fee payment stage is what produces last-minute renewals.

How we manage it

Work starts on a date, not a reminder

Each licence carries a fixed start date in the calendar, set far enough before expiry that a tenancy problem can still be solved. The trigger is the calendar, not an email from the authority.

The tenancy dependency is chased early

We ask facilities for the lease position at the start of the window rather than the end. Where a lease renewal is under negotiation, the licence timeline is flagged to the CFO immediately.

Fines identified before they compound

Outstanding items against the licence and the immigration file are checked as part of the renewal file, so they are settled rather than discovered.

Group renewals sequenced

Where several entities renew in the same quarter, they are staged rather than run together, so one problem does not consume the whole team.

Establishment card in the same pass

The card is renewed alongside the licence rather than as a separate task later, which is how it ends up lapsing.

Post-renewal distribution

The renewed licence is issued to finance, the bank, the landlord and any counterparty that holds it on file, so the company is not chasing copies weeks later.

Related licensing work

  • Licence amendments where activity, address, capital or signatories change. Covered in detail on the amendments page.
  • Branch registrations for companies opening a second location under an existing licence.
  • Licence cancellation and liquidation support, including immigration file closure and clearance certificates, which is a longer process than most companies plan for.
  • Free zone package changes where visa allocation or leased area needs to move to support headcount growth.

Trade licence renewal: the questions that matter

How early should a trade licence renewal start?

Early enough that a tenancy or approval problem can still be resolved inside the window. In practice that means beginning when the tenancy position is checked, not when the renewal notice arrives. For a group with several entities it means a staged calendar built at the start of the year.

What happens if the licence expires?

Penalties accrue and, if the position continues, activity connected to the licence is restricted, which reaches employment transactions as well as trading. The specific penalty structure differs between mainland and each free zone, so the position for a particular licence should be confirmed rather than assumed.

Can a licence be renewed without a valid EJARI?

For mainland licences a registered tenancy is part of the renewal file. Where the lease is in transition, the sequence needs managing deliberately, and it is the reason the tenancy question is asked first rather than last.

We hold licences in a free zone and on the mainland. Can both be handled together?

Yes, and they should be, because they share dependencies such as headcount, premises and shareholder records even though they renew through different authorities. The group register holds both with their own rules noted against each.

Do you handle liquidation and licence cancellation?

Yes. Cancellation involves clearing the immigration file, cancelling employee visas, obtaining clearances and settling outstanding obligations before the licence itself can be closed. It takes considerably longer than a renewal and is best started well before the intended closure date.
