Trade licence amendments
Amendments fail on sequence. Filing them in the wrong order costs more than filing them late.
A licence amendment updates the record held by the licensing authority when something material about the company changes. That includes activities, trade name, legal form, share ownership, capital, authorised signatories, managers and registered address.
Most amendments require a notarised board or shareholder resolution, and several require approvals in a specific order. A change filed before its prerequisite is refused, and the notarised documents usually have to be redone.
Amendment types and what each one touches
| Amendment | Usually requires | Knock-on effects to plan for |
|---|---|---|
| Add or remove an activity | Resolution, licensing approval, external regulator approval for some activities | Job titles on work permits may need to align; premises requirements can change |
| Change of authorised signatory | Notarised resolution, specimen signature, new signatory identification | Bank mandates, portal access, powers of attorney, contracts referencing the signatory |
| Share transfer | Notarised transfer documents, valuation or consideration evidence where required, approvals | Investor or partner visas linked to the outgoing shareholder; bank KYC refresh |
| Capital increase or reduction | Resolution, bank confirmation where required, amended memorandum | Free zone visa allocation in some zones is linked to capital or premises |
| Trade name change | Name reservation, resolution, approvals | Every document bearing the old name: bank, tenancy, contracts, website, stationery |
| Registered address change | New tenancy and EJARI, approvals | Quota is linked to premises; licence and establishment card both update |
| Manager change | Notarised resolution, new manager identification, visa position | Immigration file and portal access follow the manager in several processes |
The sequencing problem
Consider a common case. A shareholder exits, a new signatory is appointed, and the company moves office in the same quarter. Filed in the wrong order, the share transfer is prepared with a resolution signed by a signatory whose own appointment has not yet been registered, and the address change invalidates the tenancy reference used in both.
Run properly, the sequence is fixed at the start: signatory registration, then the share transfer, then the address change, with the bank and the immigration file updated at defined points rather than whenever someone notices. We produce that sequence as a written plan with dates before any document is notarised.
What we deliver on an amendment
- A written sequence with dependencies and dates, agreed before drafting
- Resolutions and forms drafted, with legal translation where required
- Notary attendance arranged, including under power of attorney where signatories are overseas
- Filing with the licensing authority and collection of the amended licence
- Downstream updates listed and tracked: bank mandate, portal access, immigration file, tenancy, insurance
- The amended documents distributed to everyone who holds the old version
Amendments: sequence and consequences
How long does a licence amendment take?
The filing itself is usually short. The time is consumed by notarisation, translation, approvals for regulated activities, and obtaining signatures from shareholders who may be overseas. Where signatories are abroad, a power of attorney arranged in advance is what keeps the timeline sensible.
Can a shareholder sign from outside the UAE?
Commonly yes, through a power of attorney executed and attested in their country of residence and then legalised for use here, or through the notary's remote arrangements where available for the transaction. Both routes need planning time, so this is settled at the start rather than at signing.
What happens to the previous signatory's access?
It should be removed deliberately. Portal access, bank mandates and any powers of attorney granted to that person are listed as part of the amendment plan and closed out, because an amendment that updates the licence but leaves old authority in place solves only half the problem.
Does a share transfer affect existing visas?
It can. Investor and partner visas are linked to the shareholding, so an outgoing shareholder's visa position needs addressing as part of the transfer rather than afterwards. Employee visas are generally unaffected unless the licence itself changes.
Do amendments affect the trade licence renewal date?
Generally the renewal cycle continues, but an amendment in progress can block a renewal, and a renewal in progress can delay an amendment. Where both fall in the same window, the order is set deliberately at the start.
